These Terms and Conditions ("Terms") govern your access to and use of the website and services of WebExcel Digital Solutions ("Company", "we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, please do not use our website or services.
1. Services
WebExcel Digital Solutions provides IT services including but not limited to website development, app development, CRM development, custom software development, SEO, digital marketing, and UI/UX design. The specific scope, deliverables, timeline, and pricing of each engagement are defined in a separate Project Agreement or Statement of Work (SOW) provided to each client.
2. Intellectual Property
- Client IP: Upon receipt of full and final payment for a project, WebExcel Digital Solutions transfers full ownership of all custom code, designs, and creative assets produced specifically for that client.
- Company IP: We retain ownership of all pre-existing frameworks, tools, libraries, methodologies, and generic components developed independently of any specific client project.
- Third-Party Assets: Open-source components, stock imagery, and third-party libraries are subject to their own respective licences. The client is responsible for ensuring compliance with those licences.
- Portfolio Rights: Unless explicitly agreed otherwise, WebExcel Digital Solutions reserves the right to display completed work in our portfolio and use it for marketing purposes.
3. Payment Terms
- All projects require a minimum of 50% upfront payment before development commences.
- The remaining balance is due upon project completion and before final delivery of files and source code.
- Milestone-based payments may be agreed for larger projects as specified in the SOW.
- Invoices not settled within the agreed payment terms may result in suspension of services and/or project delivery.
- All prices are exclusive of applicable taxes (GST) unless stated otherwise.
4. Project Changes & Scope Creep
Any changes to the agreed project scope, features, or deliverables after the commencement of work may require a formal Change Request. Significant scope changes may result in revised timelines and additional costs, which will be communicated transparently before implementation.
5. Confidentiality
Both parties agree to maintain strict confidentiality regarding any proprietary, technical, or business information shared during the course of the engagement. We are happy to execute a mutual Non-Disclosure Agreement (NDA) upon request prior to any sensitive project discussions.
6. Warranties & Representations
WebExcel Digital Solutions warrants that:
- All services will be performed professionally and in accordance with industry standards.
- All deliverables will be original work unless licensed third-party components are disclosed.
- We have the full right and authority to enter into agreements with clients.
We do not warrant specific business outcomes, search engine rankings, or conversion rates, as these depend on many external factors beyond our control.
7. Limitation of Liability
To the maximum extent permitted by applicable law, WebExcel Digital Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services. Our total liability for any claim arising out of a project engagement shall not exceed the total fees paid by the client for that specific project.
8. Post-Launch Support
Standard projects include 30 days of post-launch support for bug fixes directly related to our development work. Extended support, maintenance retainers, and feature development after the 30-day period are subject to a separate support agreement.
9. Termination
Either party may terminate a project engagement with written notice. In the event of client termination, the client agrees to pay for all work completed up to the date of termination, plus any reasonable costs incurred. Deposits are non-refundable once development has commenced.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of India.
11. Amendments
We reserve the right to update these Terms at any time. Material changes will be communicated via our website. Continued use of our services after amendments constitutes acceptance of the updated Terms.
